Terms of Service

1. Acceptance of Terms

By accessing or using Sniperate ("the Platform"), available at sniperate.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform. These Terms constitute a legally binding agreement between you ("User," "you") and Sniperate (or its associated entities) ("Sniperate," "we," "us," "our").

We may update these Terms from time to time. Your continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.

2. Description of Service

Sniperate is an AI-powered freight shipping management platform designed for ecommerce brands. The Platform provides the following capabilities:

• An AI agent that sends quote request emails to your designated freight forwarders on your behalf
• Automated parsing and extraction of pricing from forwarder reply emails
• Side-by-side quote comparison and AI-generated recommendations
• Shipment management tools including product catalog uploads (SKUs, dimensions, weights, HS codes)
• Post-booking communication facilitation between you and your chosen forwarder
• Benchmarking of quotes against market rate data

All outbound actions — including sending quote requests and awarding bookings — require your explicit review and approval before they are executed.

3. Account Registration

To use the Platform, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the business entity you represent. You agree to notify us immediately of any unauthorized use of your account.

4. User Responsibilities

You are solely responsible for:

• Data accuracy. Ensuring that all product details (dimensions, weights, HS codes), shipment information, and forwarder contact details you enter into the Platform are accurate and up to date. Incorrect data will result in incorrect quotes — Sniperate bears no responsibility for inaccuracies in your input data.
• Reviewing before sending. Carefully reviewing all AI-generated quote requests, emails, and recommendations before approving them for sending. You are the final decision-maker on all outbound communications.
• Forwarder relationships. Managing your relationships with your freight forwarders. Sniperate facilitates communication but does not manage, negotiate, or guarantee the terms of your arrangements with forwarders.
• Compliance. Ensuring your use of the Platform, including the products you ship and the information you provide (such as HS codes), complies with all applicable laws and regulations.

5. AI-Powered Features

The Platform uses artificial intelligence to parse forwarder emails, extract pricing information, compare quotes, and generate recommendations. You acknowledge and agree that:

• AI-generated content, including parsed quotes, comparisons, and recommendations, may contain errors or inaccuracies
• You must independently verify all AI-generated outputs before relying on them to make shipping decisions
• AI recommendations are suggestions only — they do not constitute professional freight, logistics, customs, or financial advice
• The accuracy of AI outputs depends significantly on the quality and format of input data, including forwarder email responses
• Sniperate does not guarantee the accuracy, completeness, or reliability of any AI-generated content

6. Email Communications

By using the Platform, you authorize Sniperate to send emails on your behalf to the freight forwarder contacts you provide. You understand and agree that:

• Quote request emails are sent only after you review and approve them
• Award and booking emails are sent only after you explicitly approve them
• The AI agent will never send outbound emails to forwarders after a booking is awarded without your explicit approval
• Sniperate is not responsible for whether forwarders respond, the timeliness of their responses, or the accuracy of the quotes they provide
• Emails are sent from Sniperate's email infrastructure on your behalf — they are not sent from your personal email address

7. Credits and Payment

The Platform operates on a credits-based billing model. You purchase credits to use the Platform's features. By purchasing credits, you agree that:

• Credits are consumed as you use the Platform's AI and email features
• Credits that have been used are non-refundable
• Unused credits remain in your account and do not expire unless your account is terminated for violation of these Terms
• Credit pricing may change at any time — we will provide reasonable notice of pricing changes, and any credits already purchased will be honored at the rate at which they were bought
• All payments are processed through our third-party payment provider and are subject to their terms

8. Intellectual Property

The Platform, including its software, design, features, documentation, and all related intellectual property, is owned by Sniperate (or its associated entities). You are granted a limited, non-exclusive, non-transferable license to use the Platform in accordance with these Terms.

You retain ownership of all data you upload to the Platform, including product catalogs, shipment details, and forwarder contact information. By uploading data, you grant Sniperate a license to use that data solely for the purpose of providing the Platform's services to you.

You may not copy, modify, distribute, reverse-engineer, or create derivative works of the Platform or any part of it.

9. Not a Freight Forwarder

Sniperate is a software platform. We are not a freight forwarder, customs broker, shipping carrier, insurance provider, or logistics company.

We do not handle, transport, store, or insure cargo. We do not arrange or guarantee the movement of goods. The shipping contract is exclusively between you and your chosen freight forwarder.

Sniperate has no liability for any loss, damage, delay, or claim arising from the actual transportation, customs clearance, or handling of your goods. Any dispute regarding the physical shipment of goods must be resolved directly between you and your forwarder.

We do not guarantee savings, specific pricing outcomes, or that any forwarder will respond to your quote requests. The Platform is a tool that helps you compare and manage quotes — the final decision and responsibility for selecting a forwarder rests entirely with you.

10. Limitation of Liability

To the maximum extent permitted by law:

• Sniperate's total liability to you for any claims arising from or related to your use of the Platform is limited to the total fees you have paid to Sniperate in the twelve (12) months immediately preceding the claim
• Sniperate is not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, lost revenue, loss of data, loss of business opportunity, or shipping delays or losses
• Sniperate is not liable for any damages resulting from errors in AI-generated content, including incorrectly parsed quotes or inaccurate recommendations
• The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement

11. Indemnification

You agree to indemnify, defend, and hold harmless Sniperate, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to:

• Your use of the Platform
• Data you provide to the Platform, including inaccurate product details, HS codes, or forwarder information
• Your relationships and disputes with freight forwarders
• Your violation of these Terms or any applicable law or regulation
• Any claim by a third party related to emails sent through the Platform on your behalf

12. Termination

You may close your account and stop using the Platform at any time. Upon account deletion, we will remove your personal data in accordance with our Privacy Policy.

Sniperate reserves the right to suspend or terminate your account at any time if we reasonably believe you have violated these Terms, engaged in fraudulent or abusive behavior, or used the Platform in a way that could harm Sniperate or other users.

Upon termination, your right to use the Platform ceases immediately. Sections of these Terms that by their nature should survive termination (including Limitation of Liability, Indemnification, and Governing Law) will continue to apply.

13. Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your data. By using the Platform, you consent to the data practices described in our Privacy Policy.

We take data security seriously and implement appropriate technical and organizational measures to protect your information. However, no method of electronic transmission or storage is 100% secure, and we cannot guarantee absolute security.

14. Changes to Terms

We may modify these Terms at any time by posting the updated version on the Platform. We will update the "Last updated" date at the top of this page and, for material changes, make reasonable efforts to notify you via email or in-app notification.

Your continued use of the Platform after changes are posted constitutes acceptance of the revised Terms. If you do not agree with the updated Terms, you should stop using the Platform and close your account.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of New South Wales, Australia. Any disputes arising from or relating to these Terms or your use of the Platform will be subject to the exclusive jurisdiction of the courts of New South Wales, Australia.
